As far as the marketing goes, after you get the legal part squared away, you may want to change the "marketing" name of your company... also known as the DBA "doing business as". This would make sense if the partner who is leaving has the company named for them, or if the name was not effective, hard to spell, etc. It's not too difficult to start marketing with a DBA name. Again, check with your lawyer to find out where you have to file the name. You won't want to have the new name be too similar to any competitors.
